General Terms & Conditions
All purchases from SteriMax Inc. are subject to these terms and conditions of sale. SteriMax Inc reserves the right to amend, update, replace, or cancel these Terms and Conditions at any time and without notice.
These terms and conditions are relevant to products purchased directly from SteriMax Inc. Purchases of SteriMax Inc. product made through a wholesaler, distributor, or third-party may be subject to the terms and conditions of such wholesaler or third-party distributor.

Direct Order Processing
All orders are subject to acceptance by SteriMax Inc., at its head office.

All prices are subject to change without notice.
All prices are exclusive of all applicable taxes.
Payment
Unless otherwise indicated, payment terms are NET 30 days from the date of invoice.

SteriMax Inc. reserves the right to delay or withhold any shipment for customers with past-due balances. Interest shall be payable on any late payment at 2% per month (24% per annum). SteriMax Inc. may apply a handling fee for any dishonoured cheque.
Delivery
SteriMax Inc. processes orders and ships product(s) on regular business days, Monday through Friday except holidays. In general, orders received prior to 2pm EST will be processed on the same day. Items with special handling, such as narcotics & controlled drugs and refrigerated product, may have exceptional processing and shipping schedules.
SteriMax Inc. makes every effort to meet a customer’s requested delivery date, however requests are not binding, and the above noted timelines are an approximation only.
Expedited and Special Requests
Rush orders are subject to a handling charge. Special delivery instructions may incur additional shipping charges.
SteriMax Inc. makes every effort to meet a customer’s special requests, however cannot guarantee that all requests are met (including shipping requirements, timing of order, or other factors beyond our control).
Order Minimum
All orders less than $500.00 are subject to a $50.00 handling fee.
The following product types must be ordered separately from other product types, and each individual order must meet the minimum $500.00 value:

Backorders
All back orders will be cancelled automatically, without notice and without penalty, 60 days from date of order if product remains unavailable for shipping at that time. Customers are responsible for placing new orders to replace any cancellations, if product is still required.
Shipping Terms
All orders are shipped FOB destination, freight prepaid.
Narcotics & Controlled Drug Ordering
Narcotics & Controlled Drugs should be ordered through the customer’s preferred wholesaler. Where not possible, and upon confirmation of same (in SteriMax Inc.’s discretion), such products can be ordered directly from SteriMax Inc. provided that the order is placed by authorized personnel.
Liability
By purchasing the Products, the Customer agrees as follows:
To adhere with, and comply to, all applicable federal, provincial and local laws, including with respect to the sale, marketing, prescribing and/or administration of the Products.
To indemnify SteriMax Inc. for losses that may relate to the Customer’s negligence, misconduct, or breach of these terms, including the sale, administration and/or dispensing (or related acts and/or omissions) of the Products.
The Customer expressly agrees that in no event shall SteriMax Inc. be liable for indirect damages, lost profits, loss of revenue or any other special, consequential, or incidental damages, however caused and on any theory of liability arising out of these terms, and whether or not Customer has been advised of the possibility of such damage. In no event shall SteriMax’s liability arising under or in connection with these terms exceed the total value of the Products supplied hereunder, and in accordance with each transaction.
Returned Goods Policy
Credit
No credit exists until a credit note is issued by SteriMax Inc. and no deduction, offset, or adjustment to any invoice may be made by the customer except based on a credit note.
Credits will be issued at the original purchase price. Goods returned to SteriMax without authorization will not be credited.
SteriMax Inc. reserves the right to inspect all returns before issuing a credit and has the right to destroy product that is returned outside its policy.
SteriMax Inc. reserves the right to require proof of purchase prior to authorizing any return.
Indirect Customers
All indirect customers must send eligible product for return to their original point of purchase.
Return Categories
Products that are eligible for return may be returned for credit in the following circumstances, as determined by SteriMax Inc. in its sole and absolute discretion.
Expired Goods
Customers may be eligible for credit for expired products returned within twelve (12) months after expiration in full, undamaged, unopened, original SteriMax Inc. packaging.
Expired returns are processed through GFL Environmental Services Inc.
All expired shipments must be accompanied by a unique identifier (debit number, reference number, claim number, etc.) and GFL reference number.

Note: Narcotics & Controlled Drugs must have written approval from GFL PRIOR to returning the goods and return must be done through Chain of Signature service.

Expired product returns are to be sent to GFL and will not be accepted at SteriMax Inc. Any products sent to GFL that have not expired will not be credited.
Shipping Errors & Items Received with Damage
If product was shipped to the customer due to an error made by SteriMax Inc., or is received with damage, the customer is to notify SteriMax Inc’s Customer Service Department within five (5) business days of the date product is delivered to a customer.
Any damage visible upon delivery must be noted on the delivery document and signed by the customer. Photos of the damage are required.
The customer must not refuse shipment. Credit will not be issued for refused shipments.
Product must be returned in full, original SteriMax Inc. packaging. Partial packages will not be accepted. Broken vials must be returned in a sealed plastic bag.

Ineligible Returns
Unauthorized returns or returns which do not comply with this policy, will be subject to rejection by SteriMax Inc. and will not be eligible for credit.
Return will not be accepted for products that are:
Returned without prior authorization.
Broken, marked, or damaged due to negligence or improper storage.
In non-original packaging, including product which has been repackaged or reconstituted.
Provided at no charge to customer.
Sold under the condition of being final sale.
Shipped to customer as a result of customer’s ordering error.
Returned greater than thirty (30) days from the date of issuance of the RA number.
Involved in an insurance claim (including, but not limited to fire, water, or smoke).
Product which has been purchased from a bankruptcy sale or going out of business sale.
Product which has been sold by SteriMax Inc. as part of an exceptional Importation and Sale (Tier 3 Drug Shortage) or through the Health Canada Special Access Program (SAP).
